By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you may not use our services. These Terms apply to all clients, visitors, and others who access Dispatch Desk.
Dispatch Desk provides marketing agency services, which may include but are not limited to: digital marketing, content creation, social media management, advertising, branding, strategy consulting, and related services (collectively, the "Services"). The specific scope of services will be outlined in a separate Service Agreement or Statement of Work ("SOW") executed between Dispatch Desk and the client.
You agree to:
Provide accurate, complete, and up-to-date information necessary for us to deliver the Services
Promptly review and provide feedback or approvals as required
Grant Dispatch Desk the necessary rights and permissions to any materials, assets, or accounts required to perform the Services
Comply with all applicable laws in connection with your use of our Services
Fees: Fees for Services are outlined in the applicable SOW or invoice. All fees are in U.S. dollars unless otherwise stated.
Payment Schedule: Payment is due as specified in your agreement. Dispatch Desk may require a deposit before work commences.
Late Payments: Invoices not paid within the agreed timeframe may be subject to a late fee of 1.5% per month (or the maximum rate permitted by law) on the outstanding balance.
Refunds: All fees paid are non-refundable unless expressly stated in a written agreement or required by applicable law.
Taxes: You are responsible for any applicable taxes, duties, or levies arising from the Services.
Client Materials: You retain all ownership rights to materials, content, and data you provide to Dispatch Desk ("Client Materials"). You grant Dispatch Desk a limited, non-exclusive license to use Client Materials solely for the purpose of delivering the Services.
Deliverables: Upon receipt of full payment, Dispatch Desk assigns to you all rights, title, and interest in the final deliverables created specifically for you under the applicable SOW, except for any pre-existing works, tools, or intellectual property owned by Dispatch Desk ("Background IP").
Background IP: Dispatch Desk retains all rights to its Background IP (including proprietary tools, templates, methodologies, and processes), which may be used in the delivery of Services but are not transferred to the client.
Portfolio Rights: Unless otherwise agreed in writing, Dispatch Desk reserves the right to reference your name and display completed work in its portfolio and marketing materials.
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement and not to disclose such information to third parties without prior written consent. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
To the maximum extent permitted by applicable law:
Dispatch Desk's total liability to you for any claims arising out of or related to the Services shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.
In no event shall Dispatch Desk be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Dispatch Desk does not guarantee specific results from marketing campaigns, including but not limited to lead volume, revenue growth, or advertising performance.
The Services are provided on an "as is" and "as available" basis. Dispatch Desk makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
Either party may terminate the engagement with written notice as specified in the applicable SOW.
Dispatch Desk reserves the right to immediately suspend or terminate Services if you breach these Terms, fail to make payment, or engage in conduct that is unlawful or harmful.
Upon termination, you remain responsible for payment of all fees for Services rendered up to the termination date.
You agree to indemnify, defend, and hold harmless Dispatch Desk, its officers, employees, agents, and partners from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content or materials you provide to Dispatch Desk.
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Cincinnati, Ohio, in accordance with the rules of the American Arbitration Association.
We reserve the right to update these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. We encourage you to review these Terms periodically. Continued use of our Services after changes constitutes acceptance of the updated Terms.
